1. Acceptance of Terms

By downloading, installing, accessing, or using the Solas application ("App"), website, or any related services (collectively, "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy, all of which are incorporated herein by reference.

If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and Solas Health, Inc. ("Solas," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Services after any modification constitutes acceptance of the updated Terms.

⚕️ SOLAS IS NOT A MEDICAL DEVICE, HEALTHCARE SERVICE, OR MEDICAL PROVIDER. Nothing in the Services constitutes medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for personal health decisions.

3.1 No Medical Advice. The Services provide general health, wellness, and fitness information and coaching for informational and motivational purposes only. Nothing in the Services constitutes, or should be construed as, medical advice, diagnosis, treatment, prescription, or any form of professional healthcare guidance. Solas is not a licensed medical practitioner, therapist, psychologist, psychiatrist, dietitian, or any other healthcare professional.

3.2 Not a Substitute for Professional Care. The information and coaching provided through the Services is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician, mental health professional, or other qualified healthcare provider with any questions you may have regarding a medical condition, mental health concern, or dietary change.

3.3 Emergency Situations. If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. If you are experiencing a mental health crisis or thoughts of self-harm or suicide, call or text 988 (Suicide and Crisis Lifeline) immediately. Do not rely on Solas for emergency assistance.

3.4 No Disease-Specific Claims. Solas does not diagnose, treat, cure, or prevent any disease, disorder, or medical condition.

3.5 Nutritional Information. Nutritional data, calorie counts, and macro calculations provided by the Services are estimates only. Consult a registered dietitian for personalized nutritional advice.

3.6 Fitness Information. Exercise suggestions are general in nature. Consult your physician before beginning any exercise program.

3.7 FDA Compliance. Solas has not been reviewed or approved by the U.S. Food and Drug Administration as a medical device or health application.

4. Agent Actions and Automated Features

4.1 Human-in-the-Loop Requirement. All Agent Features (grocery ordering, appointment booking, form pre-filling, goal planning) require your explicit review and confirmation before any action is executed.

4.2 User Responsibility. You are solely responsible for reviewing, approving, and taking responsibility for all actions taken through Agent Features. By approving any agent action, you acknowledge that you have reviewed the proposed action in its entirety and are solely responsible for the outcome.

4.3 No Autonomous Execution. Solas will never execute any financial transaction, submit any form, place any order, or take any irreversible action without your explicit confirmation.

4.4 Grocery and Commerce Features. Any purchases are made directly with third-party retailers under their terms. Solas is not responsible for product quality, delivery, or pricing accuracy.

4.5 Form Pre-fill Features. All pre-filled information must be reviewed and verified by you before submission. Solas is not responsible for the accuracy of pre-filled information.

5. User Accounts and Eligibility

5.1 Age Requirement. You must be at least 18 years of age to use the Services.

5.2 Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.3 Accurate Information. You agree to provide accurate, current, and complete information when creating your account.

5.4 One Account Per User. Each user may maintain only one account. Creating multiple accounts to circumvent a ban or restriction is prohibited.

6. Subscription, Payment, and Refunds

6.1 Paid subscriptions are billed on a recurring basis as selected at time of purchase.

6.2 All payments are processed through Stripe, Inc. or Apple's in-app purchase system.

6.3 Price Changes. Solas reserves the right to change subscription pricing with 30 days' notice.

6.4 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6.5 Refund Policy. All subscription fees are non-refundable except where required by applicable law.

6.6 Founding Member Plans. Founding Member rates are locked at the rate active at time of first subscription and are non-transferable.

7. Acceptable Use and Prohibited Conduct

Your use of the Services is subject to our Acceptable Use Policy. You agree not to:

8. Safety System and Account Restrictions

8.1 Solas operates an automated multi-layer safety system that monitors for harmful content, jailbreak attempts, and policy violations.

8.2 Temporary Restrictions. Accounts that trigger repeated safety violations may be temporarily restricted for up to one (1) hour per incident.

8.3 Permanent Bans. Accounts that accumulate three or more temporary restrictions within a thirty-day period may be permanently banned. Permanent bans result in immediate termination of access and forfeiture of any unused subscription period without refund.

8.4 Appeal Process. Banned users may appeal by emailing [email protected]. Appeals are reviewed within 48 business hours.

8.5 Users who are permanently banned for policy violations are not entitled to refunds.

9. Intellectual Property

All content, features, and intellectual property comprising the Services are owned by Solas or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial use.

10. Privacy and Data

Your use of the Services is subject to our Privacy Policy. The Services collect and process health-related data to provide personalized coaching and insights.

11. Third-Party Services

The Services may integrate with third-party services. Your use of third-party services is subject to their respective terms. Solas is not responsible for third-party content, privacy practices, or terms.

12. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SOLAS DOES NOT GUARANTEE ANY SPECIFIC HEALTH OUTCOMES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SOLAS'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Solas from claims arising out of your use of the Services, your violation of these Terms, any agent actions you approve, or any health decisions you make based on information provided by the Services.

14. Termination

Either party may terminate the account at any time. Solas may suspend or terminate accounts without notice for violations of these Terms. Upon termination, your license terminates immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by California law. Disputes shall be resolved by binding arbitration in Los Angeles County, California. CLASS ACTION WAIVER: You agree to bring claims only in your individual capacity.

16. General Provisions

These Terms constitute the entire agreement between you and Solas. If any provision is found unenforceable, the remaining provisions continue in effect.
